Terms of Use

Welcome to FC2 Counter! Before you begin using FC2 Counter, you must read and agree to these FC2 Counter Terms of Service ("Terms of Use" or "Agreement").
Please read following terms, conditions and policies carefully as they contain important information regarding your legal rights, remedies and obligations.

1. Legal terms and Conditions

In order to use our counter services provided by FC2, Inc. ("FC2 counter, we, us, our") you (user, members, your) must first agree with our terms and conditions before you join us. This agreement sets out legally binding terms for your membership and maybe modified from time to time.

2. Eligibility

By using FC2 you will abide by terms and condition set forth from this company. By using FC2 services you shall:

1. Represent and warrant that all your information that you ("user") have given to us is true and accurate, and you will maintain accuracy of such information.
2. Have not been compulsively withdrawn by us in the past.
3. Be able to take sensible, well-mannered communications with us.
4. Be the one who registered, not someone else.

3. Privacy Policy

Based on our strict privacy policies, we will treat all your information as confidential to protect your privacy when you use our services.

4. User Conduct

1. 1.The following are example of the kinds of content that is illegal or prohibited to post on or through the FC2 Services. FC2 reserves the right to investigate and take appropriate legal procedures against anyone who violates FC2 terms and conditions. In cases where users committed prohibitted actions, all FC2 services will come to no avail without any notice. Also, in the cases where we or any third party has been damaged by the actions prohibited below, the damage should be compensated by that user.
   "My Counter" has to employ original material of the one who is registered to the service in its nature, not the reproduction from other websites.
   1. You may not post, transmit, or share other images that you did not create or that you did not have permission to post, again FC2 Reserves the right to delete or remove any contents.
   2. You may not post, transmit, or share images that are not related to FC2 counter or against public order.
   3. You may not violate the privacy rights, publicity rights, copy rights, trademark rights, contract rights, or any other rights of any person or company.
   4. You may not constitute or promote any illegal or unauthorized copy of another person’s copyrighted work.
   5. You may not harass or advocate harassment to other individuals or groups.
   6. Actions and expressions that go against public order.
   7. You may not interfere or disrupt the maintainance of our service, use of others or incite others to do so.
   8. You may not threaten, stalk, defame, defraud, degrade, victimize, or intimidate an individual or group of individuals for any reason.
   9. You must reveal true identity and not impersonate any person or entity, including, but not limited to, an FC2 official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity.
   10. You shall not interfere with or disrupt the service or servers or the networks connected to our service, or not to follow any requirements procedures, policies or regulations of networks connected to the service.
   11. You may not provide material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18 and displays pornographic or sexually explicit material of any kind and in any shape.
   12. You may not solicit passwords or personal identifying information of any kind for commercial or unlawful purposes from other users; and engage in commercial activities and/or commercial sales without our prior written consent, including, without limitation, contests, sweepstakes, barter, advertising, and pyramid schemes.
   13. You may not transfer this Agreement to third-party beneficiaries.
   14. We may refuse to provide the service to any religious bodies, any organizations that conduct pyramid selling, or any others that act against public order.
   15. Actions that might amount to what is prohibited or unlawful.
   16. You may not see the criteria we employ when assuming that certain actions ammount to violation of the terms of use.
2. It is the sole discretion of FC2 to judge if there has been any action against the terms of use.

5. User Responsibilities

All users of FC2 have the following responsibilities for the use of our service.

1. Should the use of the Service caused damage to a third person (including the damage caused by users' failure to implement this Agreement, either to us or to any third party), users themselves bear full responsibility for the concerned damages and costs.
2. When users were to be asked, claimed, protested, complainted and other cases, users must fully resolve disputes in their own responsibility.
3. Users should promptly inform us with any change in their personal information.

6. Suspension/Termination

1. FC2 reserves the right to delete users' account at any given moment without notice on the following occasions:
   1. When a user provides us false information on registration to FC2 Services.
   2. If we find a user has violated article 4. User Conduct.
   3. When a user is viewed as not suitable as a FC2 user.
2. Should we bear the responsibility of compensation by any conducts mentioned above, relevant users must take on the responsibility and debt.

7. Removing Data

FC2 reserves the right to delete users' account at any time without notice for the following reasons:

1. Information provided at the time of registration is found out to be faulty.
2. Our, users' or any other thrid party's rights have to be protected.
3. A user violates the Agreement.
4. When it is necessary to keep the Service in order.

8. Stop/Cancel Services

1. FC2 reserves the right at any time to modify or discontinue the service temporarily or permanently, with or withour notice on its own discretion.
2. FC2 reserves the right at any time to provide the service-related repair, maintenance, and upgrade equipments with or without prior notice to suspend or cancel the services.
3. FC2 is not liable for any disruption, discontinuance, and cancellation of our service.

9. Warranty Disclaimer

1. Our mission is to provide, operate, committed to smooth and confortable use of this service. Please use this Service at your own responsibility. FC2 does not guarantee following:
   1. The service would continue running.
   2. Services, being defected or disrupted, will always be restored as they used to be.
2. FC2 for any reason of the interruption of services, we are not responsible for the damage concerned.
3. FC2 is not liable for any errors in the counter, reset of it due to disruption in our server.
4. FC2 reserves the right to do server-based operation at any time without prior notice of suspension or termination of this Service.
5. FC2 has no obligation to store or maintain information from users. Any damage arise from the counter, we are not reliable for it at all.

10. Disclaimer

1. FC2 will not be accused for any damages through the use of this service, may it be involved directly or indirectly in disputes.
2. Users are solely responsible for their interactions with other FC2 users. FC2 is not to be involved in disputes among users.

11. Force Majeure

When acts of God such as, fires, attacks, floods, riots or wars, and also incidents that are beyond the scope of management of both parties result in not being able to fulfill their obligations, both parties will not be responsible for this.

12. Disputes

1. This terms of use applies U.S Nevada State Law. All disputes arising from the use of this service should be submitted to the arbitration procedures stipulated in the state of Nevada, the United States of America. Disputes that cannot be solved through arbitration process should accordingly be submitted to trials, in which case the United States District Court in Nevada will become the exclusive jurisdiction of the Court of First Instance. Both parties should bear lawyer fees that arise in the process.
2. In cases where articles in this terms of use are assumed to be invalid or inactive, all other valid articles should be applied to the case.

13. Confidentiality

1. FC2 will not disclose any user email address or password to third party.
2. During restoration, maintenance operations, or when requested by the user, FC2 may access to personal information within its facility.
3. FC2 strictly manages confidentiality of all information mentioned in the former section. However, it might not be the case when asked or accepted by users, or based on obligations arising from criminal investigations.

14. Communication with Users

All communications between FC2 and users will be conducted through e-mail or FC2 user website. Users may not reject any e-mails sent from us while they are in contract with us.

15. Withdrawal

1. When users want to cancel the service, they may conduct the cancellation through FC2ID.
2. Users will not be bounded by all the responsibilities mentioned in this terms of use after the cancellation.

16. Change in Terms of Use

FC2 reserves the right to amend or change the Term of Services at any time without notice. All amendments and additions will be taken into force immidiately after their publication on FC2 website.
